Product / Corporate Counsel - Assistant General Counsel

Job Description

We are seeking an exceptional, collaborative, and energetic Product / Corporate Counsel to join 1Money's Legal team at a pivotal stage of growth. This role demands a rare combination of sophisticated regulatory expertise in digital assets and financial services, strong judgment and communication skills, entrepreneurial mindset, and willingness to tackle novel legal challenges. This role will work closely with senior leadership across product, compliance, finance, and engineering to support the development of regulated stablecoin and payments infrastructure globally. The ideal candidate thrives in ambiguity, brings both large law firm rigor and in-house pragmatism, a strong foundation in financial services regulation, commercial transactions, and corporate law, and takes ownership of complex problems with intellectual curiosity and creative, solutions-oriented problem-solving. This is a high-impact role for an attorney who enjoys working hard in fast-paced, ambiguous environments, stepping outside of their comfort zone to expand their capabilities, and building novel products within evolving regulatory frameworks.

Job Responsibilities

  • Product & Regulatory Counseling:
    • Advise on product development across stablecoins, payments infrastructure, blockchain technology, and digital assets services.
    • Provide strategic guidance on complex financial services regulations, consumer protection laws, BSA/AML/CFT compliance, sanctions screening and transaction monitoring for digital asset flows, intellectual property strategy, data privacy, and cybersecurity requirements.
  • Licensing & Regulatory Strategy:
    • Support domestic and international licensing efforts and other regulatory approvals simultaneously.
    • Interface with regulators globally on policy, regulatory interpretations and examination matters.
    • Coordinate with external counsel and regulatory consultants across jurisdictions.
    • Support drafting of policies, procedures, and playbooks.
  • Contract Negotiation & Commercial Transactions:
    • Draft and negotiate sophisticated commercial agreements including technology and product licensing agreements, partnership agreements, vendor agreements, and enterprise customer contracts.
    • Develop customer-facing terms of service and developer platform documentation.
  • Corporate Governance & Transactional Support:
    • Support corporate governance advice, including board and committee management, corporate housekeeping and filings, subsidiary structuring, and intercompany arrangements.
    • Support venture capital financing rounds, including due diligence coordination, and investment documentation.
  • Research & Strategic Support:
    • Proactively monitor and identify risks and regulatory developments that could impact the business, providing strategic recommendations to senior leadership.
    • Translate complex regulatory requirements into practical business guidance for non-legal stakeholders.
    • Stay ahead of the rapidly evolving regulatory landscape for digital assets, including proposed legislation, regulatory guidance, and enforcement actions.
  • Project Management & Cross-Functional Collaboration:
    • Lead multiple high-stakes legal projects simultaneously, often with compressed timelines and competing priorities. Partner closely with product, engineering, compliance, finance, and operations teams. Manage outside counsel and support scalable legal processes as the company grows.

Qualifications

Required:
  • Education: Juris Doctor (JD) degree from a top-tier ABA-accredited law school. Active membership in at least one U.S. jurisdiction.
  • Experience: 5-7 years of legal experience with a meaningful combination of:
    • Large law firm experience in financial services, fintech, or regulatory practice
    • In-house counsel experience at a regulated financial services or digital asset company
  • Core Skills:
    • Financial services and payments regulation (money transmission, banking, fintech, digital assets)
    • Experience with blockchain technology and digital assets
    • Commercial contract drafting and negotiation
    • Corporate governance and venture-backed company operations
    • Regulatory licensing and compliance support

Bonus Factors

  • Direct experience with stablecoin issuance, digital asset custody, or blockchain infrastructure projects
  • BSA/AML program development or FinCEN regulatory compliance experience
  • Securities law or CFTC regulatory experience as applied to digital assets
  • Experience with API platforms, digital wallet infrastructure, blockchain development, developer ecosystems, or two-sided marketplace businesses
