Position Summary
We are seeking an accomplished, intellectually rigorous, and entrepreneurial Deputy General Counsel to serve as the second-in-command of 1Money’s Legal function at a defining moment in the Company’s growth. Reporting to the Chief Legal Officer, the Deputy General Counsel will operate as a senior partner to the Chief Legal Officer across the full spectrum of the Company’s legal, regulatory, policy, and corporate affairs, with primary subject-matter ownership of complex digital asset and financial services matters and the seniority to deputize for the Chief Legal Officer on Board, executive, regulatory, and counterparty matters.
This is a senior, broad-shouldered role for a lawyer who is energized by ambiguity, comfortable owning the most demanding workstreams within the legal function, and capable of building the structures, processes, and judgment frameworks at the velocity of the company’s growth that will allow the legal team to scale. The ideal candidate brings the technical depth, the maturity and gravitas to engage substantively with senior executives, regulators, and sophisticated counterparties, and the breadth to support the Company across regulatory, transactional, corporate, litigation, intellectual property, employment, and adjacent practice areas as the business grows.
This role is for an attorney who treats novel problems as opportunities, who pairs large law firm rigor with in-house pragmatism, and who is prepared to take ownership of outcomes across a multi-jurisdictional, multi-entity regulated organization. Success in the role will be measured by the Deputy General Counsel’s ability to operate independently on the most consequential matters facing the Company and to build durable legal infrastructure as the Company progresses through its growth and related financing rounds, product launches, licensing endeavors, and global expansion.
Job Responsibilities
Senior Legal Leadership & Deputization:
- Serve as principal deputy to the Chief Legal Officer across all matters affecting the Company, with the seniority to represent the legal function in interactions with the Board of Directors, executive leadership, investors, regulators, counterparties, and external counsel.
- Own end-to-end ownership of designated complex regulatory, transactional, and strategic workstreams, exercising independent legal judgment with limited supervision.
- Lead, mentor, and build out the in-house legal team as the function scales, including direct management of attorneys, paralegals, and contract specialists.
Digital Asset & Financial Services Regulatory Counsel:
- Lead substantive legal analysis and advice across stablecoin issuance and redemption, payments infrastructure, blockchain network operations, digital asset custody, and the Company’s regulatory exercises and licensing pursuits.
- Advise on the U.S. and international regulatory architecture applicable to the Company and its operations, including applicable digital assets, banking, money transmission, BSA/AML/CFT and sanctions, consumer financial protection, securities, and commodities laws.
- Support primary engagement with prudential and functional regulators in coordination with the Chief Legal Officer, external counsel, and executive management.
Commercial Transactions & Strategic Partnerships:
- Lead negotiation of the Company’s most complex commercial agreements, including stablecoin issuance-as-a-service agreements, partnership and sponsor arrangements, enterprise customer contracts, and material vendor and technology agreements.
- Develop and refine customer-facing terms, developer documentation, and platform-level legal instruments in coordination with product, engineering, and compliance counterparts.
Corporate, Governance & Transactional Matters:
- Support the Chief Legal Officer on corporate governance matters across the parent and all subsidiaries, including Board and committee management, fiduciary duty analysis, equity administration, intercompany arrangements, and subsidiary formation and maintenance.
- Support venture financing rounds, strategic investments, and potential acquisitions, including diligence coordination, transaction documentation, capitalization analysis, and post-closing integration.
Litigation, Disputes & Risk Management:
- Support oversight of the Company’s litigation, arbitration, regulatory enforcement, and pre-litigation disputes portfolio, including selection and management of outside litigation counsel, litigation hold administration, e-discovery oversight, and dispositive strategy.
- Develop the Company’s issue management, escalation, and risk reporting frameworks in coordination with the Chief Legal Officer, Chief Compliance Officer, Chief Risk Officer, and Internal Audit.
Intellectual Property, Employment & Cross-Functional Coverage:
- Support management of the Company’s intellectual property program, including trademark prosecution and enforcement, copyright and trade secret protection, open source governance, and patent strategy as relevant to the Company’s technology stack.
- Provide legal coverage on employment, executive compensation, employee mobility, immigration, and workplace policy matters in partnership with the People function and specialist outside counsel.
- Stand up legal coverage across additional practice areas as the Company’s footprint grows, including privacy and cybersecurity, real estate, tax, and procurement.
Outside Counsel & Legal Operations:
- Manage the Company’s outside counsel relationships, including engagement letters, fee arrangements, scope management, and quality oversight.
- Build and maintain the Legal function’s operational infrastructure, including matter management, knowledge management, contract lifecycle systems, and the Company’s Legal AI use and privilege protocols.
Qualifications
Required:
Education: Juris Doctor (JD) from a top-tier ABA-accredited law school. Active membership in good standing in at least one U.S. jurisdiction, with eligibility to register as in-house counsel in additional jurisdictions as required.
Experience: 10+ years of progressive legal experience, with a substantive combination of: (i) senior associate or counsel experience at a top-tier law firm in a financial services, fintech, or digital assets practice; and (ii) in-house experience at a regulated financial services, fintech, or digital asset institution, with demonstrated ownership of consequential matters.
Core Skills:
- Deep substantive expertise in U.S. financial services regulation as applied to payments, money transmission, banking, and digital assets, including the federal banking and prudential supervisory framework, BSA/AML and sanctions, and the evolving stablecoin and digital asset regulatory regime.
- Direct experience advising on stablecoin issuance, digital asset custody, blockchain infrastructure, or comparable digital asset products, with the substantive depth to interface credibly with regulators, investors, and external counsel.
- Sophisticated commercial contract drafting and negotiation across complex, multi-party, regulated transactions.
- Corporate governance and venture-backed company operating experience, including engagement with Boards, executive committees, and institutional investors.
- Demonstrated capacity to lead and manage independent workstreams, including oversight of outside counsel and direct management of in-house attorneys.
- Excellent judgment, written and oral communication skills, and the credibility to operate as a peer to senior executives across the Company.
Bonus Factors:
- Direct regulatory licensing experience at the international, federal or state level in money transmission, banking, trust, or digital asset business regulation.
- Securities, CFTC, or commodities regulatory experience as applied to digital assets, including registration analysis under the Securities Act, the Exchange Act, the Investment Company Act, and the Commodity Exchange Act.
- Substantive experience managing complex commercial litigation, regulatory enforcement matters, or arbitration in the financial services or technology sectors.
- Intellectual property strategy experience, including trademark portfolio management, trade secret protection, and open source governance.
- Employment and executive compensation experience at a high-growth, venture-backed company, including equity plan administration and senior executive transitions.
- International regulatory experience.
